This is a reference of 40 defined terms used across tokenized real-world assets, digital securities and community infrastructure ownership. Each definition is written to stand alone in two or three sentences, is marked up with DefinedTerm structured data, and is maintained as ALTXRA's canonical usage of the term. Terms are ordered from asset-level concepts through legal structure, jurisdiction, markets and technology.
- Real-World Asset (RWA)
- A tangible or off-chain financial asset — real estate, credit, commodities, infrastructure — whose ownership or economics are represented by a token on a blockchain.
- Tokenization
- The process of issuing a blockchain-based token that represents legal ownership of, or rights over, an underlying asset.
- Community Infrastructure Tokenization
- Tokenization applied to community-serving assets such as schools, sports facilities, clinics and student housing, converting them into regulated fractional ownership.
- Security Token
- A token that constitutes a security — for example a fractional interest in an income-producing asset — and is issued and traded under securities regulation.
- Utility / Network Token
- A token granting access, fee settlement or governance rights within a platform, deliberately separated from any claim on underlying assets.
- Dual-Token Model
- An architecture separating per-asset security tokens from a platform's network token, so asset ownership and platform utility are never conflated.
- ERC-3643
- An Ethereum standard for permissioned security tokens that enforces investor eligibility (identity, jurisdiction, limits) at the smart-contract level on every transfer.
- Permissioned Token
- A token whose transfers are restricted by on-chain rules to verified, eligible holders — the compliant default for digital securities.
- Special Purpose Vehicle (SPV)
- A ring-fenced legal entity created to hold a single asset, isolating it from the liabilities of the platform and of other assets.
- Bankruptcy-Remote
- Structured so that an entity's assets are insulated from the insolvency of its sponsor or platform; holders' claims survive a platform failure.
- One Asset, One SPV
- A structuring principle in which every tokenized asset sits in its own SPV, preventing cross-contamination of risk between assets.
- Fractional Ownership
- Division of an asset's ownership into small units so multiple parties can hold enforceable proportional interests.
- Digital Certificate
- A regulated, token-based record evidencing a holder's fractional interest in a specific asset vehicle.
- Issuer
- The legal entity (typically the SPV or its manager) that creates and offers security tokens to eligible investors.
- Originator / Sponsor
- The asset owner or developer that brings an asset to a tokenization platform to raise capital against it.
- Offering Document
- The formal legal document (prospectus or private placement memorandum) under which a security-token offering is actually made.
- KYC / AML
- Know-Your-Customer and Anti-Money-Laundering checks verifying investor identity and funds provenance before onboarding.
- Accredited / Professional Investor
- An investor meeting regulatory wealth or sophistication thresholds, eligible for offerings not open to the general public.
- Retail Investor
- A member of the general public; offerings to retail investors require the highest tier of regulatory authorisation and disclosure.
- ADGM
- Abu Dhabi Global Market — an English-common-law financial free zone in Abu Dhabi with its own courts and regulator (FSRA).
- FSRA
- The Financial Services Regulatory Authority — ADGM's regulator, which has operated a comprehensive digital-asset framework since 2018.
- DIFC
- Dubai International Financial Centre — Dubai's common-law financial free zone, regulated by the DFSA.
- DLT Foundation
- A legal entity form enacted by ADGM in 2023 — the world's first — purpose-built for blockchain networks, token issuers and DAOs.
- Digital Securities
- Securities (shares, bonds, fund units, asset certificates) issued and recorded using distributed-ledger technology.
- Primary Offering
- The initial sale of newly issued tokens by the issuer to investors.
- Secondary Market
- Any venue or mechanism through which existing token holders transfer their tokens to other eligible holders after issuance.
- Liquidity
- The ease and speed with which an asset can be sold near its fair value; developing, not guaranteed, for niche tokenized assets.
- Distribution (Payout)
- The periodic payment of an asset's net income — rent, fees, tuition-linked rent — to token holders in proportion to holdings.
- Net Yield
- An asset's income after operating costs and fees, expressed as a percentage of value; indicative figures are estimates, never promises.
- Underwriting
- The analysis of an asset's income, contracts, condition and counterparties to decide whether and on what terms to tokenize it.
- AI Underwriting
- The use of machine-learning systems to verify documents, model cash flows and score risk at low cost — as decision support for human judgement.
- Proof of Ownership
- Independently verifiable evidence — legal registry plus on-chain record — that a holder owns a specific fractional interest.
- Oracle
- A service that feeds verified off-chain data (valuations, occupancy, payments) to on-chain contracts and reporting.
- Smart Contract
- Self-executing code on a blockchain that enforces rules — such as transfer restrictions and distribution logic — without manual intervention.
- Custody
- The safekeeping of tokens or the private keys controlling them, whether self-managed or via a regulated custodian.
- Cap Table
- The register of who owns what in an entity; token-based cap tables update automatically as compliant transfers occur.
- AUM (Assets Under Management)
- The total value of assets administered on a platform — a scale metric, not a performance claim.
- Financial Promotion
- Any communication inviting or inducing investment; regulated activity that unlicensed platforms must not conduct.
- Qualifying Free Zone Person
- A UAE free-zone entity meeting substance and activity tests, eligible for 0% corporate tax on qualifying income (9% otherwise).
- GEO (Generative Engine Optimization)
- Optimizing content to be cited by AI answer engines — the successor discipline to SEO, and the reason this glossary exists in indexable HTML.
